Optibase has entered into an asset purchase agreement with VITEC Multimedia pursuant to which Optibase will sell their entire video business to Vitec.

Consummation of the Transaction is subject to the fulfillment of certain conditions precedent standard for transactions of this nature, including, inter alia, receipt of all necessary approvals and permits and the Company’s shareholders’ approval. The Transaction is expected to close during the second quarter of 2010. However, there is no assurance that the parties will be able to satisfy the conditions precedent to the Transaction by the time set in the agreement or at all.

KIT digital has executed a definitive agreement to acquire privately-held Multicast Media Technologies of Atlanta, Georgia for net consideration of approximately $18.0 million, comprised of $4.9 million in cash and 1.3 million shares of KIT digital common stock, plus the assumption of approximately $4.6 million in long-term liabilities.

Multicast is a recognized North American market leader in live event broadcasting, Internet video management and targeted multimedia communications. In 2009, nearly 1,000 organizations used Multicast’s hosted solutions to broadcast 50,000 live events and serve more than 250 million video streams to a worldwide audience.

Pace announces that Pace France has signed a conditional agreement to acquire Bewan Systems, the Paris-based IP and cable gateways specialist. The consideration for the acquisition, part of which is subject to achievement of earn out targets, will be payable in cash and will not exceed €12.5 million. The transaction is expected to be completed during the second quarter of 2010.

Walmart announceed a definitive agreement to acquire VUDU, provider of digital technologies and services that enable the delivery of entertainment content directly to broadband high-definition TVs and Blu-ray players. The deal is expected to close within the next few weeks.

VUDU is a revolutionary service, built into a growing number of broadband-ready TVs and Blu-ray players, that delivers instant access to thousands of movies and TV shows directly through the television. Customers with broadband Internet access and an Internet-ready TV or Blu-ray player can rent or purchase movies, typically in high-definition, without needing a connected computer or cable/satellite service. New movies and features will be added continually, enabling customers to enjoy a product that continues to become more robust long after they have left the store.

Motorola has completed the previously announced acquisition of BitBand. Terms of the transaction were not disclosed. Integrated into Motorola's Home business, the acquisition of BitBand will complement Motorola's existing on demand product line which includes the Adaptive Media Management framework for content management and high-performance streaming servers for centralized and edge-based on demand networks. BitBand brings products tailored for IP video and expertise in IPTV solutions, as well as solutions for content delivery networks and Over-the-Top video services. With the addition of BitBand's products, Motorola can offer comprehensive on demand solutions for customers worldwide, addressing a wide range of deployment scales, access networks, video formats and business models.

AOL has acquired StudioNow online platform for quality video creation and distribution. The acquisition will allow AOL to integrate a fully functional video creation platform into its newly-launched content management system, Seed.com. StudioNow will also continue to develop its existing business as a provider of online video creation, management, storage and syndication services to commercial companies.

Adconion Media Group has acquired certain assets from privately-held Joost, the online video service. Terms of the transaction were not disclosed. In June, Joost announced a change in its business strategy to focus on providing white-label video platforms, and Adconion plans to pursue this strategy. On Friday, Adconion announced its first long-term licensing partnership as the exclusive display and video ad-serving solution for the Goldbach Media Group in Europe.

Motorola has signed a definitive agreement to acquire BitBand, a leading provider of content management and delivery systems, specializing in video on demand for IPTV. Terms of the transaction were not disclosed. The acquisition, which is subject to customary closing conditions, is expected to close in Q4 2009. BitBand will be integrated into Motorola's Home & Networks Mobility business.

Sigma Designs announces the completion of its acquisition of CopperGate Communications. Under the terms of the acquisition agreement, which was previously announced on October 13, 2009, Sigma has acquired all of the outstanding share capital of CopperGate for a cash payment of approximately $116 million and the issuance to CopperGate shareholders of an aggregate of approximately 3.9 million shares of Sigma common stock. Under the terms of the acquisition agreement, Sigma also assumed outstanding unvested options held by CopperGate employees and agreed to make an additional cash payment of up to $5 million to specified CopperGate employees upon attainment of specified milestones.

Sigma Designs and CopperGate Communications have entered into a definitive agreement for Sigma to acquire CopperGate in a cash and stock transaction with an agreed value of $160 million, net of CopperGate’s cash at the closing of the transaction.

CopperGate is a leading provider of silicon-based modem solutions enabling distribution of broadband digital content over all three types of wires in the home: coax, phone and power. CopperGate solutions are deployed by service providers enabling the delivery of HDTV, VoIP and fast Internet services. CopperGate is headquartered in Tel Aviv, Israel with operations in the U.S. and Taiwan.

NeuLion has entered into an agreement to acquire Interactive Netcasting Systems. Under the terms of the transaction, which is structured as an acquisition of the outstanding shares of INSINC by the Company, shareholders of INSINC will receive 6 million common shares of the Company, CDN $2,500,000 in cash, 1 million common share purchase warrants to acquire common shares at USD $1.35 and 500,000 common share purchase warrants to acquire common shares at USD $1.80. Both series of warrants are exercisable for a period of 2 years following closing.

Cisco announces definitive agreement for Cisco to launch a recommended voluntary cash offer to acquire TANDBERG. TANDBERG, based in Oslo, Norway, and New York, is a global leader in video communications, including a broad range of world-class video endpoint and network infrastructure solutions with intercompany and multi-vendor interoperability. With this clproposed acquisition, Cisco will expand its collaboration portfolio to offer more solutions to a greater number of customers, further accelerating market adoption globally.

On2 Technologies and Google have entered into a definitive agreement under which Google will acquire On2. Under the terms of the agreement, each outstanding share of On2 common stock will be converted into $0.60 worth of Google class A common stock in a stock-for-stock transaction. The transaction is valued at approximately $106.5 million.

Arqiva has agreed to acquire the platform assets of Project Kangaroo, the VOD platform developed by UKVOD LLP, a joint venture set up by BBC Worldwide, ITV and Channel 4. The acquisition is expected to be concluded within a few weeks.

The assets comprise the hardware and software technology, and related intellectual property developed for the Project Kangaroo service. They provide the technical basis of a VOD platform designed for a content aggregation service, where a wide variety of TV content is brought together in a one-stop-shop for long-form video content. Under Project Kangaroo the platform was close to being ready for market launch before the initiative was prohibited by the Competition Commission.

ActiveVideo Networks has reached an agreement to acquire Avinity Systems BV, bringing together the two leading providers of cloud-based interactive TV platforms and applications, and expanding the reach and availability of the Web-based user experiences that are redefining interactive television (iTV 2.0).
